XYZ Labs is built to offer tools that simplify interaction and visualization of digital assets, acting solely as a technology provider that connects users to duly authorized third-party services.

2. Definitions

For the purposes of these Terms, the following definitions apply:

User: Any natural or legal person who interacts with the Platform’s functionalities.

Digital Assets: Digital representations of value based on blockchain technology, including but not limited to cryptocurrencies and stablecoins, which can be transferred, stored, or traded electronically.

Self-Custody: A system for managing private keys in which the user has exclusive control over access, transfer, and security of their digital assets, assuming full responsibility for custody.

Service Providers: Third-party entities integrated into the Platform that facilitate services such as payment processing, liquidity provision, or asset exchange, duly authorized in their respective jurisdictions.

3. Mission and Nature of the Service

3.1. XYZ Labs aims to promote financial freedom and technological innovation through a platform that facilitates access to digital asset services and blockchain-based applications.

3.2. XYZ Labs acts solely as a technology integration provider between users and third-party service providers. It does not perform financial operations, hold user funds, or provide custody services. XYZ Labs is not involved in the formation, execution, or settlement of any transactions, limiting its role to providing the technical infrastructure for connectivity.

3.3. The Platform operates exclusively as a technology provider, offering:

• An intuitive interface for viewing and interacting with digital assets;

• Access to authorized third-party services for digital asset-related operations;

• Integration with blockchain technologies for efficient and secure conversions;

• Connectivity with duly authorized payment and exchange service providers.

4. Platform Operation

4.1. The acquisition and conversion of digital assets through the Platform occurs via integration with authorized third-party providers, following these general steps:

a. The user initiates a payment using options provided by the integrated payment service providers;
b. Upon confirmation of payment, the corresponding asset is issued and transferred according to the provider’s terms;
c. Users may perform asset conversions using various methods offered on the Platform, including:

• Conversions through integrated liquidity providers operating via blockchain smart contracts;

• Conversions through partner service providers or exchanges;

• Other conversion options that may be added in the future;
  d. All transactions are processed and settled according to the protocols and rules of each network and provider used.

4.2. The user acknowledges that:

• The Platform operates solely as a technological interface;

• Operations depend on the availability and terms of third-party providers;

• Processing times and fees may vary depending on market conditions and provider policies;

• XYZ Labs does not guarantee continuous service availability or maintenance of specific features or integrations.

5. User Responsibilities

The user is fully responsible for:

• Maintaining the security of their private keys and wallets;

• Verifying the accuracy of wallet addresses before initiating transfers;

• Understanding the risks inherent in digital asset operations;

• Safeguarding their access credentials;

• Conducting their own due diligence before engaging in any transaction;

• Keeping secure backups of recovery information.

6. Risks and Limitation of Liability

6.1. Acknowledgments

The user expressly acknowledges and agrees that:

• The digital asset market is highly volatile;

• The Platform does not guarantee returns or profitability;

• Software bugs, technical failures, or vulnerabilities may occur;

• Third-party integrations and blockchain networks may experience downtime or instability;

• Updates may introduce unexpected behavior;

• The interface may temporarily display inaccurate information;

• Blockchain transactions are irreversible by nature;

• Errors in addresses cannot be reversed;

• Network delays may impact transaction processing.

6.2. Limitation of Liability

XYZ Labs shall not be liable for any direct or indirect losses or damages, including but not limited to:

• Software bugs or programming errors;

• Security breaches or vulnerabilities;

• Unexpected behavior of the interface;

• Integration failures with third-party providers;

• Blockchain network malfunctions;

• Delays or processing errors;

• User operation errors;

• Incorrect wallet addresses;

• Loss of private keys or credentials;

• Backup or recovery failures;

• Price fluctuations or value losses;

• Conversion or exchange losses;

• Network fees or missed opportunities.

6.3. Security Recommendations

To minimize risks, users should:

• Maintain secure backups of all credentials;

• Verify all transaction data before confirmation;

• Use only funds they can afford to lose;

• Stay informed about Platform updates and announcements;

• Immediately report any suspicious activity.

7. Intellectual Property

7.1. The Platform includes elements under various intellectual property regimes:

• The main application code may include open-source components under applicable licenses;

• The backend services, trademarks, logos, trade names, layout, organizational structure, documentation, and other proprietary elements are the exclusive property of XYZ Labs or its licensors.

7.2. Users agree not to:

• Copy, modify, adapt, or alter any part of the Platform;

• Reverse-engineer, decompile, or disassemble the software;

• Remove or alter copyright or trademark notices;

• Use any component for unauthorized or illegal purposes;

• Create derivative works or sublicense the Platform.

7.3. XYZ Labs grants users a limited, non-exclusive, non-transferable, and revocable license to use the Platform in accordance with these Terms.

7.4. This license does not transfer ownership or grant rights beyond those expressly provided and may be revoked at any time at XYZ Labs’ sole discretion.

7.5. The Platform may include third-party software or content subject to their own licenses and copyrights. Users must comply with such terms and licenses.

7.6. Any violation of intellectual property rights may result in:

• Immediate suspension or termination of access;

• Civil or criminal liability;

• Obligation to compensate for damages;

• Legal measures as deemed necessary.

8. Business Partners

8.1. XYZ Labs integrates with various commercial and operational partners, whose services may be subject to specific terms and fees.
Use of any product or service from these partners constitutes automatic acceptance of their respective terms of use, with XYZ Labs bearing no responsibility for their performance or obligations.

9. General Provisions

9.1. You may not assign or transfer this Agreement without prior written consent from XYZ Labs. Any unauthorized assignment will be null and void. XYZ Labs may assign this Agreement:
(a) in the event of a merger, acquisition, or sale of substantially all its assets; or
(b) to any affiliate or as part of a corporate reorganization.

9.2. This Agreement, together with referenced policies, constitutes the entire agreement between you and XYZ Labs. Any modification is only valid if made in writing.

9.3. Neither party shall be liable for delays or failures due to causes beyond reasonable control, including but not limited to natural disasters, network outages, cyberattacks, pandemics, or government actions.

9.4. You must comply with all applicable import, export, and sanctions regulations. You are solely responsible for ensuring your use of the Services complies with such laws.

9.5. Both parties act as independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.

9.6. XYZ Labs does not collect, store, or process personally identifiable information (such as names, IDs, or banking details). All compliance, identification, and AML processes are handled exclusively by integrated third-party providers.

9.7. Responsibility for AML, CTF, and regulatory compliance lies entirely with the third-party service providers. XYZ Labs is not responsible for their compliance or operational failures.

9.8. If you are under the age of majority in your jurisdiction, you may use the Platform only with parental or guardian consent.

9.9. By allowing a minor to use the Platform, you accept these Terms on their behalf and assume full responsibility for their use.

9.10. XYZ Labs reserves the right to amend these Terms at any time, with prior notice to users.

9.11. All communications under this Agreement shall be made in English. In case of translation discrepancies, the English version prevails.

9.12. By using the Platform, you acknowledge that you have read, understood, and fully agreed to these Terms of Use.
